IMPORTANT: ISS’ Invitation to Submit Changes to Self-Selected Pay Benchmarking Peer Group

We wanted to share this important invitation from ISS to submit changes to self-selected pay benchmarking peer group:

As a reminder, Institutional Shareholder Services Inc. (ISS) recently announced the opening of its peer group construction process and requests your participation by submitting any changes you have made to your company’s self-selected peer groups for your next proxy disclosure. ISS uses companies’ self-selected peer groups as an important input for its peer group construction methodology.

The ISS peer submission window is available for U.S. and Canadian companies with annual meetings slated to be held between February 1, 2017, and September 15, 2017, and for European companies with annual meetings slated to be held between February 1, 2017 and January 31, 2018. The peer names you submit should reflect peer companies used for pay-setting for the fiscal year ending prior to your upcoming annual meeting.

The window for submissions will open at 9:00 AM EST on Monday, November 28, 2016 and will close at 8:00 PM EST on Friday, December 9, 2016.

Companies that have made no changes to their proxy-disclosed executive compensation benchmarking peers, or companies that do not wish to provide this information in advance, do not need to participate. For companies that do not submit changes, the proxy-disclosed peers from your last proxy filing will automatically be factored into ISS’ peer group construction process.

Additional information on the ISS peer submission process, including links to the most recent ISS’ peer selection methodology in U.S., Canada, and Europe is available on the ISS website under https://www.issgovernance.com/company-peer-group-feedback.
